Republic Systems — Terms of Service

1. Seller and scope

Republic Systems LLC, doing business as Republic Systems ("Republic Systems," "we," "us," or "our"), operates republic-systems.com and sells products through this website. We are based in Cuyahoga County, Ohio. Our business mailing address is 1366 W 117th St, Lakewood, OH 44107. Contact us at support@republic-systems.com.

These Terms govern use of our website and ordinary website purchases, together with our Privacy Policy, Shipping Policy, Refund and Returns Policy, and Limited Warranty Policy. These policies are incorporated by reference and are available through our website policy links. Please review them before ordering. Nothing in these Terms limits rights or remedies that cannot lawfully be excluded.

2. Customers, accounts, and lawful use

Individuals and businesses may purchase through our ordinary website checkout. You must be legally able to enter into a purchase agreement. If you act for a business, you represent that you are authorized to bind it. Purchases for resale require our prior written approval. Government procurement requires a separate arrangement; contact support to discuss requirements. An ordinary checkout purchase does not establish acceptance of a government contract or procurement terms.

You must provide accurate contact, billing, payment, and shipping information and keep account credentials secure. Notify us promptly of suspected unauthorized account use. You may not impersonate others, submit fraudulent orders, distribute malicious software, infringe intellectual property, unlawfully collect personal information, or interfere with website security or availability.

Ordinary browsing, legitimate accessibility tools, and normal search-engine indexing are permitted. Unauthorized bulk scraping, abusive automation, and bypassing security or access restrictions are prohibited. We may restrict access for violations, subject to our obligations concerning existing orders and applicable law.

3. Products and descriptions

Product listings identify specifications, compatibility, available colors, and included components. Accessories shown for illustration are included only when the listing expressly says so. Screen settings may affect displayed colors, and reasonable minor manufacturing variations may occur. These qualifications do not authorize substitution of materially different products or negate advertised specifications or applicable warranties.

We may change future listings, prices, and availability or discontinue products. Changes do not retroactively change an accepted order's specifications or price without your agreement. We sell stocked products and do not currently offer made-to-order products through ordinary checkout.

4. Orders, payment, and acceptance

Payment is charged at checkout. Placing an order is an offer to buy under these Terms. We may decline an order for reasons such as unavailable inventory, a material listing error, suspected fraud, an unsupported shipping destination, or a legal restriction. If we decline a paid order, we will refund the payment to the original payment method, subject to legally required timing. We do not charge a customer cancellation fee for an order we decline or cancel ourselves.

Your order is accepted when we ship it. Checkout payment and any automatic order acknowledgment confirm receipt of the order and do not, by themselves, constitute acceptance.

If an error affects an order, we will contact you where practicable to seek agreement to a correction or cancel and refund the affected order. We will not substitute a materially different item or increase the price of an existing order without your agreement.

5. Prices and charges

Checkout displays product charges and applicable shipping and taxes. You authorize the displayed total and represent that you are entitled to use the payment method. Prices may change for future orders. Promotion-specific terms apply to the promotion. Special business pricing or volume commitments must be agreed in writing.

6. Customer cancellations and ordinary returns

To cancel before shipment, contact support@republic-systems.com with your order number. Cancellation is free when requested within 24 hours of purchase and before shipment. After 24 hours, an 8% cancellation fee applies only if fulfillment processing has begun and the order has not shipped. No cancellation fee applies after 24 hours if fulfillment processing has not begun. Once an order ships, the ordinary returns process applies.

Eligible ordinary returns must be requested within 30 days of delivery and authorized before return shipment. Products must be unused, unwashed, unaltered, in original packaging, and include all original components in their original quantities. Approved ordinary returns carry a 12% restocking fee. The customer pays return shipping; original shipping charges are not refunded for ordinary change-of-mind returns. Refunds are issued to the original payment method within 10 business days after receipt and inspection.

Cancellation and restocking fees do not apply to seller-caused errors, approved manufacturing-defect remedies, or refunds for which law prohibits such fees. See the Refund and Returns Policy for complete procedures.

Cancellation and restocking fees are calculated on the affected merchandise subtotal after applicable discounts, excluding shipping and taxes. Cancellation and restocking fees are not combined for the same item. Any tax refund is handled as required by applicable law.

7. Shipping

In-stock orders received by Thursday at 4:00 p.m. Eastern Time ship Friday. Orders received after that cutoff ship the following Friday. Holidays may affect the schedule. Carrier transit estimates are separate from our shipment schedule and are not Republic Systems delivery guarantees. We currently ship to all 50 states, the District of Columbia, and U.S. territories; APO/FPO/DPO and international shipping are not currently offered.

Risk of loss passes when we duly hand the order to the carrier, to the extent permitted by applicable law. Carrier-loss claims are addressed in the Shipping Policy. This allocation does not remove responsibility for our own fulfillment errors or eliminate nonwaivable customer rights.

8. Limited warranty and product use

Our manufactured products are covered by the Limited Warranty Policy against defects in materials and workmanship for the product's practical lifetime. Ordinary wear, misuse, accidental damage, improper care, and damage caused by modifications are excluded. Exclusions apply to the damage they cause, rather than automatically voiding coverage for unrelated defects.

Use products for their stated purposes, follow product instructions, verify compatibility, inspect before use, and discontinue use if damage makes the product unsafe. No product is represented as ballistic protection, climbing or fall-arrest equipment, or life-safety equipment unless the applicable listing expressly establishes that intended function and relevant specifications.

Return shipping is covered by Republic Systems only for confirmed manufacturing defects or order errors missed by our quality-control process, except where applicable law requires otherwise. Third-party products carry their manufacturer's warranty; contact us for claim-routing assistance. This does not exclude obligations that legally remain with us as the seller.

9. Intellectual property and feedback

Website text, photographs, graphics, logos, and other content belong to Republic Systems or their respective owners. Normal viewing, shopping, sharing links, and retaining purchase records are permitted. Commercial reproduction or use of our branding requires permission, except where otherwise allowed by law.

You retain ownership of reviews and other public feedback you submit. You grant us a nonexclusive, worldwide, royalty-free license to display, reproduce, and reasonably format that public feedback to operate and promote our business, subject to applicable law. You must have the rights needed to submit it. Honest positive or negative reviews are permitted. We may moderate fraudulent, threatening, infringing, unlawful, or unrelated content; criticism alone is not grounds to penalize a customer.

Do not send confidential designs or development proposals without a separate written confidentiality agreement. Public-feedback permission does not automatically transfer ownership of private designs or intellectual property.

10. Shopify and third-party services

Republic Systems is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Republic Systems. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Republic Systems, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Republic Systems.

All provisions remain subject to applicable law and nonwaivable rights. Third-party links and optional tools may have their own terms. We do not control independent third-party websites or guarantee their content.

11. Privacy

Our collection and use of personal information are described in our Privacy Policy. Shopify also processes information in connection with hosting, checkout, and related services, as described in the applicable Shopify privacy notices. Review those notices for the actual processing practices; these Terms do not replace required notices or consent.

12. Website availability and warranties

We do not promise uninterrupted or error-free website access. To the extent legally permitted, website functionality and general informational content are provided as available. This website qualification does not disclaim the product warranty, negate factual product promises, or eliminate implied warranties or other rights that law preserves.

13. Limitation of liability

TO THE EXTENT PERMITTED BY APPLICABLE LAW, REPUBLIC SYSTEMS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM WEBSITE USE OR PRODUCT PURCHASES. THIS LIMITATION DOES NOT EXCLUDE OUR EXPRESS WARRANTY REMEDIES, REQUIRED REFUNDS, OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING APPLICABLE LIABILITY FOR PERSONAL INJURY, FRAUD, OR OTHER NONWAIVABLE CLAIMS. SOME STATES DO NOT ALLOW CERTAIN DAMAGE EXCLUSIONS, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

To the extent permitted by law, you agree to indemnify Republic Systems for third-party claims and reasonable associated costs to the extent caused by your unlawful conduct, infringement of third-party rights, or material breach of these Terms. This obligation does not arise merely from normal lawful product use and does not require you to indemnify us for our own negligence, defective products, or unlawful conduct. We will provide reasonably prompt notice and reasonable cooperation. Any defense or settlement arrangements must respect your applicable legal rights.

15. Governing law and dispute venue

These Terms are governed by Ohio law, subject to applicable federal law and mandatory protections that apply to the transaction. To the extent enforceable, disputes will be brought in Ohio state courts in Cuyahoga County or federal courts with jurisdiction serving Cuyahoga County. This provision does not prevent use of another forum where a nonwaivable right requires it.

16. Policy priority, changes, and general provisions

The specific warranty, returns, and shipping policies govern their respective subjects over conflicting general wording in these Terms. A separate written agreement expressly accepted by Republic Systems governs the matters it specifically addresses. Customer purchase-order terms do not automatically modify an ordinary website transaction.

Changes apply prospectively from the stated effective date. Previously accepted orders remain governed by the terms applicable when accepted unless the parties agree otherwise or law requires a change. We will provide notice of material changes when required by law.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver. Termination of website access does not cancel our duties concerning existing purchases, refunds, warranties, or legal rights. Provisions that reasonably need to survive termination remain applicable. Any transfer of our business or contractual obligations remains subject to applicable law and existing customer rights.
